Terms of Service

1. Introduction

These Terms of Service ("Terms") govern your use of the EMC Client Portal ("Portal"), operated by EMC ("we", "us", "our"). By accessing or using the Portal, you agree to be bound by these Terms.

If you are using the Portal on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

2. Account Access

  • Access to the Portal is by invitation only. You must be invited by an EMC administrator or an authorised team administrator within your organisation.
  • You are responsible for maintaining the security of your account. Do not share your sign-in links or allow others to access your account.
  • You must notify us immediately if you become aware of any unauthorised use of your account.
  • We reserve the right to suspend or terminate accounts that violate these Terms or pose a security risk.

3. Acceptable Use

When using the Portal, you agree not to:

  • Attempt to gain unauthorised access to any part of the Portal or its systems
  • Use the Portal to store or transmit malicious code or malware
  • Interfere with or disrupt the Portal's operation or infrastructure
  • Use automated tools to scrape, crawl, or extract data from the Portal
  • Share confidential calibration data or certificates with unauthorised parties
  • Upload files that contain viruses or other harmful content
  • Violate any applicable laws or regulations

4. Intellectual Property

The Portal, its design, features, and content are owned by EMC and are protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of the Portal.

Calibration certificates, technical documents, and software provided through the Portal remain the intellectual property of EMC. You may use these materials solely for their intended purpose within your organisation.

5. Data and Content

You retain ownership of any data you submit to the Portal (such as equipment information, support tickets, and uploaded files). By submitting data, you grant EMC a licence to store, process, and display that data as necessary to provide our services.

You are responsible for ensuring that any data you upload does not infringe on third-party rights and complies with applicable data protection laws.

6. Calibration and Technical Data

Calibration certificates and technical reports provided through the Portal are issued in accordance with our quality management system. While we take every care to ensure accuracy:

  • Calibration results reflect the condition of the equipment at the time of calibration only
  • You are responsible for scheduling re-calibrations as required by your quality system
  • The Portal provides calibration reminders as a convenience; it is your responsibility to maintain calibration schedules

7. Software Subscriptions

Software subscriptions and unlock codes provided through the Portal are subject to their respective subscription agreements. Unlock codes are generated for specific hardware and are non-transferable.

8. Service Availability

We aim to keep the Portal available at all times but do not guarantee uninterrupted access. We may temporarily suspend the Portal for maintenance, updates, or security reasons.

We are not liable for any loss or damage arising from Portal unavailability.

9. Limitation of Liability

To the maximum extent permitted by law, EMC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Portal.

Our total liability for any claims arising from use of the Portal shall not exceed the amount you have paid to EMC for services in the 12 months preceding the claim.

10. Privacy & Data Processing

Your use of the Portal is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal data.

10.1 Data Location. All personal data stored through the Portal is held in a database hosted within the European Union. Files are stored using EU-based object storage.

10.2 International Transfers. Certain service providers used to operate the Portal are based in the United States. Where personal data is transferred outside the UK/EEA, appropriate safeguards are in place including the EU-US Data Privacy Framework, Standard Contractual Clauses (2021), and/or the UK International Data Transfer Agreement. Details are set out in our Privacy Policy.

10.3 Client & Distributor Responsibilities. If you access the Portal from outside the UK/EEA, you acknowledge that your interactions with the Portal may involve the processing of your data through international infrastructure. You are responsible for ensuring your use of data obtained through the Portal complies with the data protection laws of your jurisdiction. If your organisation requires a Data Processing Agreement with EMC, please contact us.

10.4 Data Processing Agreements. Enterprise clients and distributors who require EMC to act as a data processor may request a Data Processing Agreement setting out the scope of processing, security measures, sub-processor list, and international transfer mechanisms. Requests should be directed to EMC's designated contact.

11. Changes to These Terms

We may update these Terms from time to time. We will notify you of significant changes via email or a notice on the Portal. Continued use of the Portal after changes take effect constitutes acceptance of the updated Terms.

12. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or your use of the Portal shall be subject to the exclusive jurisdiction of the courts of England and Wales.
